in advising Governments on appropriate privatisation strategy and implementing
such strategies, as well as advising Governments on the conditions required
for attracting IPP investment and other forms of private sector finance.
Privatisation
IPA are leading practitioners of electricity sector privatisation in transition
economies and emerging markets. IPA are highly experienced in advising
Governments on appropriate privatisation strategy and implementing such
strategies through preparation of bid documents, evaluation procedures
and negotiations with bidders.
Concession
and Management Contracts
IPA is a leader in the design and drafting of concession agreements, ROT
and Management contracts where a Government wishes to attract private
sector involvement without surrendering ownership. IPA have drafted management
contracts for long term concessions, ROT, LOT and ROM contracts for power
stations.
Private
Sector Funding
IPA has also advised Governments on the conditions required for attracting
IPP investment and other forms of private sector finance. In the private
sector, IPA has provided strategic market advice to IPPs, and has represented
IPPs in negotiations with Governments.
Commercialisation
IPA provides leading private sector management expertise to clients who
are seeking to improve the performance of their energy sector. This can
be as part of the preparation for privatisation, but increasingly is a
stand-alone solution to improving performance.
Divestment
and Inward Funding
IPA has niche expertise in attracting private sector investment and management
skills where it is critical to support and complement Government needs
in areas such as social policy, tariff policy and off-grid rural electrification.

and Incentives
IPA is currently advising Clients on fiscal incentives or special funding
mechanisms to stimulate implementation of energy policy development either
to mitigate risk or enhance the financial returns to attract capital.

Current
and Recent Experience in Funds, Finance & Private Sector Management
Montenegro
- Privatisation Strategy
IPA is developing a privatisation strategy for the electricity and coal
mining sectors in Montenegro, identifying key privatisation issues and
options for the soon to be unbundled national electricity operator EPCG
(including its non-core assets such as hotels and a construction company)
and a lignite mine.
Kosovo - Institutional Framework
Consultancy Services to review and make recommendations for improving
the policy, legal, regulatory and institutional framework for private
sector participation in the energy sector in Kosovo.
Azerbaijan
- Privatisation of Bakuelectrostet
IPA completed the privatisation of Bakuelectrostet, the electricity distributor
in Baku, which included agreeing a privatisation strategy with the Government
and making a choice between management, concession and outright sale.
Georgia
- Private Sector Participation
IPA introduced private sector participation into the management of the
hydro sector in Georgia, agreeing specific objectives with Sakenergogeneratsia,
the incumbent operator, and then led their team through identification
of possible alternatives for involving private sector management and capital.
Kyrgyzstan
- Privatisation
IPA is advising the Government of Kyrgyzstan on demarcation of a distribution
company, formulation of a privatisation strategy and detailed implementation
through to completion of negotiations with the selected bidder.
Lithuania - Restructuring
IPA restructured Lietuvos Energija, the state utility, in preparation
for privatisation, following the design and implementation of a regulatory
framework and market structure.
Lesotho - Privatisation of LEC
Services to the Lesotho Electricity Corporation in its preparation for
privatisation - including market & economic analysis and assessment
of options for privatisation developing a privatisation strategy through
concession, completing the transaction.
Nigeria
- Fast Track Privatisation
Fast track privatisation using a R-O-T contract basis for 2 thermal power
stations owned by NEPA. This work was so well received that NEPA asked
IPA to perform a fast track privatisation of 3 hydro stations and 2 further
thermal stations using O&M contracts.
Ukraine
- Rehabilitation
IPA provided assistance in the development of small scale hydro capacity
in Ukraine through the implementation of project financing for 2 demonstration
sites.
